Dealer desires to sell trailers, spare parts and related merchandise manufactured by Gem State Manufacturing, Inc. and/or related entities, therefore, the parties agree as follows:

      1. RIGHT TO SELL. Gem State Manufacturing Inc. TrailMax (Manufacturer) grants the non exclusive right to sell Manufacturer’s Products and Dealer acknowledges and agrees that it is not a franchisee of Manufacturer. Dealer shall act as an independent contractor and shall have no power, right or authority, express or implied, to create or assume any obligation on behalf of Manufacturer or in Manufacturer’s name.
      2. DEALER’S OBLIGATIONS. Dealer agrees to perform and comply with all covenants, conditions, and obligations set forth. Dealer agrees that it shall:
      a. Establish point of contact(s) and/or sales staff to be trained on the Products. Point of contact(s) will be responsible for ongoing dialog with the Manufacturer and will be responsible for distributing all announcements and notifications from the Manufacturer to the Dealer’s staff as well as using our website on-line tools to obtain information as needed including but not limited to quote requests, inventory, product specifications.
      b. Implement advertising programs that includes the TrailMax logo (as supplied by Manufacturer) in all marketing efforts. This will include but is not limited to print advertising such as publications or flyers, display of TrailMax poster and literature, prominent display of the TrailMax logo on Dealer’s website.
      c. Review Sales Proposals and Sales Confirmations for accuracy and report discrepancies within 3 business days of receiving. Lack of response after 3 business days will be construed as confirmation of accuracy. Once the 3 business days have passed, no Sales Confirmation shall be amended or canceled without written agreement of Manufacturer.
      d. Understand Administration Fees are applicable in all transactions included, but not limited to, $250 Drop Ship Fee per unit or $75 Will Call Fee per unit. Such fees will not be eligible for credit in the event of inventory surrender or trade-in.
      e. Not use the Products for anything but sale and display purposes at Dealer’s authorized location. Products put into rental fleets or purchased for use by Dealer must have a completed in service checklist and warranty card submitted on or before the first day of use.
      f. Arrange for delivered Products to be unloaded properly and safely at Dealer’s expense. Dealer agrees to inspect Products for damage prior to signing receiving documentation and to notify Manufacturer immediately of any damage incurred.
      g. At its own expense, perform pre delivery inspections using the in service checklist provided by Manufacturer not more than five (5) days prior to Products being put into service.
      h. Understand the method Manufacturer uses to determine capacity and specifications of each product and the Federal, State and Local laws and regulations governed for use of such product.
      i. Instruct each of its customers who purchases any Product about the proper use and maintenance of the Product prior to purchase and, if requested by the customer, after the purchase.
      j. Dealer shall submit to the Manufacturer within 24 hours of sale the designated and otherwise appropriate in service checklist and warranty card. Failure to deliver the warranty card to the Manufacturer and obtain appropriate approval for warranty work prior to work being completed shall result in Dealer having the sole responsibility for warranty work without reimbursement by the Manufacturer or the initial purchaser.
      k. Dealer shall submit to the Manufacturer within 2 business days of sale, any placement information for D-rings and any other special features. Failure to deliver these specifications to the Manufacturer shall result in the Manufacturer placing these items in standard locations.
      3. MISCELLANEOUS.
      a. Fax Signatures. Fax signatures shall be deemed as legally effective as a signed original.
      b. Governing Law, Venue, Jury Waiver. The rights and obligations of the parties under this Agreement shall be governed by and interpreted within the laws of the State of Idaho excluding its choice of laws rules. In the event either party should initiate legal action to enforce any of the terms of this Agreement, Dealer agrees the court proceedings may properly occur in Canyon County, Idaho. Manufacturer and Dealer waive trial by jury. The prevailing party shall be entitled to its reasonable attorney’s fees and costs.
      c. Non-Exclusativity. This Agreement in no way implies an exclusivity of representation of Product(s) in a specified geographic area from the Manufacturer to the Dealer unless otherwise agreed in writing. It is the intent of Manufacturer to ensure all Products are represented in a geographic area which may be accomplished through one (1) Dealer or combination of Dealers. Manufacturer reserves the right to sell to unsolicited sales opportunities.
      d. Product Warranty. Manufacturer furnishes a standard limited warranty to the first owner to use the Product for personal or commercial use. Should Dealer use the Product to generate income other than from the sale of the Product, the warranty will not transfer to the next owner.
      e. Pricing, Terms, Fees and Discounts. Prices, terms, fees and discounts extended to the Dealer are subject to change at any time.
